Terms of Service

1. The Service

The Site provides information about Preludex and its music-intelligence platform and allows you to join a waitlist to be notified about our launch. The Site is currently pre-launch and provided on an "as-is" and "as-available" basis. We may change, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee that the Site or the future platform will be available at all times or meet your expectations.

2. Eligibility

You must be at least 13 years old to use the Site. If you are between 13 and the age of majority in your jurisdiction, you may use the Site only with the involvement and consent of a parent or legal guardian. By using the Site, you represent that you meet these requirements.

3. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to any part of the Site, its servers, or related systems.
• Interfere with or disrupt the Site (for example, through denial-of-service attacks, scraping at abusive rates, or distributing malware).
• Impersonate any person or entity, or misrepresent your affiliation.
• Attempt to circumvent any security, access-control, or rate-limiting measures.
• Submit false, misleading, or third-party email addresses to the waitlist without authorization.

4. Intellectual Property

The Site and its content — including text, graphics, logos, software, and the "Preludex" name and marks — are owned by Preludex or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Preludex's underlying technology is the subject of patent-pending applications. No part of the Site grants you any right, title, or interest in our intellectual property. You may view the Site for personal, non-commercial use only; you may not copy, reproduce, distribute, modify, or create derivative works from the Site or its content without our prior written consent.

5. User Submissions

If you submit information to us (such as joining the waitlist or contacting us), you represent that you have the right to provide that information and that it is accurate. You grant us a non-exclusive, worldwide, royalty-free license to use the information you submit for the purpose for which you provided it and to operate and improve the Site.

6. Third-Party Links and Services

The Site may contain links to third-party websites or services (for example, social media platforms). We are not responsible for the content, practices, or policies of any third-party site. Your use of third-party services is governed by their own terms and privacy policies.

7. Copyright Infringement (DMCA)

We respect the intellectual-property rights of others. If you believe that content on the Site infringes your copyright, please send a notice to the address in Section 13 that includes: (a) a description of the copyrighted work; (b) the location of the allegedly infringing material; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the owner. We will respond to valid notices as required by the Digital Millennium Copyright Act.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRELUDEX, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Preludex and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without cause or notice. Sections 4, 8, 9, 10, 11, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-law principles, except to the extent preempted by applicable federal law. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Atlanta, Georgia, and you consent to their jurisdiction and venue. Nothing in this section limits our right to seek injunctive or other equitable relief in any court of competent jurisdiction.

13. Changes to These Terms

We may modify these Terms at any time by posting the revised version on the Site with an updated "Last updated" date. Material changes will be communicated on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
